B] Project:

Title, description and location of the project:
The Casa de Francia Project will consist in the following:
(i) the construction, the equipment and the maintenance for 15 years of a building with an approximate surface area of 3960 square metres (carpet area), and their underground parking spaces as required by the local authorities, defined as ‘’Casa de Francia II’’;
(ii) the remodelling, the refurbishing and the maintenance for 15 years of an existing catalogued house (3 stories building) with a surface area of 1280 square metres (carpet area) and its perimeter on a lot of approximately 1815 square metres, defined as ‘’Casa de Francia I’’;
(iii) the construction of other offices, commercial or residential facilities to be built on the land adjacent to the existing house to be exploited by Awardee of the bid, defined as ‘’The CDF Center‘’.

The objective of the Casa de Francia Project is to create a new cultural forum for the French Republic in Mexico, on a land owned by France. On the site, a Porfirian house which used to serve as the French Embassy and which is to be renovated, will confer style to the whole project.
Such two buildings – the Casa de Francia I and the Casa de Francia II - will host the IFAL (Institut Français d’Amérique Latine) and the CEMCA (Centre d’ Etudes Mexicaines et Centre-Américaines) which are now located in two different neighbourhoods of Mexico City. The new site, which will be open to the public, will be also destined for high level cultural activities, including the French Ambassador’s reception for the French National Day.
In exchange for the construction of the new premises, the French Republic will donate to the Awardee, part of its land located at the corner of Havre and Hamburgo streets.
This Project offers the opportunity for Awardee to construct several square meters for office, commercial or residential use in an historical district which is being fully renovated.

A preliminary and schematic architectural design (excluding any structure or technical studies) by BGP Arquitectura for the construction of the new cultural institute – Casa de Francia II - and the remodelling of the existing house – Casa de Francia I - has already been retained by the Contracting Authority. The Awardee of the bid will be bound to execute such project in its terms, at its sole cost, including the payment of the architectural feeds of BGP Arquitectura.

An architectural project (same level of project) by the same professionals for the rest of the CDF Center (as defined above) also exists and will be included as one of the bid documents for its consideration by selected bidders. After negotiation with BGP Arquitectura of its architectural fees, the Awardee could adopt such project or not, at its sole cost. In the event that Awardee decided not to retain the existing project for the whole CDF Center, it will be bound to hire, at its sole cost, the services of BGP Arquitectura as the Architect Supervisor for the whole Project.

The land on which the Project is to be developed is located at the Colonia Juárez of Mexico City, on Havre 15 (site of the existing catalogued house), Havre 17 and 19, Hamburgo 63 and Hamburgo 67. The total surface of such four lots is 4026 square meters. The French Republic intends to keep at least the exclusive property over 1815 square metres (approximately 49,05m x 37,00m, a part of Havre 15 only) – as Lot 1 -, including the land on which the existing house (‘’Casa de Francia I’’) is located and on which the new building (‘’Casa de Francia II’’) will be built. The remaining portion of the four lots currently owned by the French Republic – as Lot 2 - will be initially conveyed to a trust for their merger and further re-lotification. Both the Casa de Francia I and the Casa de Francia II will be owned by the French Republic, the ‘’CDF Center” will be first conveyed to a second trust and then given in full ownership to Awardee, after completion of the constructions.

Qualified Bidders will be allowed to offer a cash settlement or any other benefits in addition to the works and services described above, such works and services being the minimum expected by the Contracting Authority in exchange of the remaining portion of the land described above.

C] Procedure:

C.1) Type of procedure:
Restricted procedure with eventual negotiations corresponding to project-wise selection of Awardee, based on an invitation to tender in the press and on the website of the Embassy of France in the United States of Mexico.
This procedure is divided in three (3) phases:
1.‘’Call for Tender’’: Pre-selection of no more 5 bidders according to competences, references and means;
2.‘’Bidding Process’’: Submission of two separate bids (or envelopes) (A-Technical, B-Economic) following the receipt of Tender Documents from the Contracting Authority;
3.Analysis of all bids for Awarding a Private Partner – who will become the Awardee – and then final negotiation with the Awardee. The French Republic will form a Special Committee which will: (i) review qualifications of bidders and propose a selection of qualified bidders, and (ii) review the bids and proposals and propose an Awardee for the Casa de Francia Project. This Special Committee will work in private.

The first phase - ‘’Call for Tender’’ - for the pre-selection of Qualified Bidders will be organized as follow:

Qualification materials will be placed in closed envelopes bearing the following text: “BID for THE CASA DE FRANCIA PROJECT’’
1.2. Upon receipt of the qualification materials the Special Committee will hold private sessions for the selection of the qualified bidders (the “Qualified Bidders”) and notify the non-qualified bidders in writing. Then, after 7 calendar days of such notice, the Special Committee will notify also in writing the Qualified Bidders of their selection, such notice will be given within 28 calendar days as from the receipt of the qualification materials.

The second phase - ‘’Bidding Process’’ - for bidding will be organized as follows:
2.1. Selected Qualified Bidders will have to each execute a Non-Disclosure and Confidentiality Agreement (the “Confidentiality Agreement”) with the French Republic, to be provided to the Qualified Bidder upon notification of their selection as such, and prior to receiving a copy of the Tender Documents including the Bid Rules and a draft form of a Master Agreement to be executed between the French Republic and the Awardee.
2.2. Upon receiving confirmation of their selection by the Special Committee and after the execution of the Confidentiality Agreement, Qualified Bidders will receive a copy of the Tender Documents. Qualified Bidders will have 49 calendar days to submit their proposals (the “Proposals”) for the whole Casa de Francia Project. The limit time and date to submit a proposal will be specified in the Tender Documents.

C.2) Professions selected and Objective of the Contract:
The Call for Tender is reserved for constructors and companies with significant experience in large civil engineering projects and large building development projects. The Awardee can either be a team, a joint venture / or an intercompany partnership.

C.3) Documents to be submitted by candidates:

Each candidate (sole service provider or team) must produce the following documents:
A methodological document presenting the means, competences, economic resources and the candidate’s references indicating the details of his/her organization as well as:

- means of the candidate (material and human with the résumés of the main people in charge of and working on a given project) including the competences presented (qualifications, degrees, etc.) and their source of financing for the Project;

- detailed reference files of similar projects in Mexico City, in United Mexican States or abroad (public/official/cultural buildings, remodelling/renovation/restoration/construction…) which reflect the organization’s experience (detailed explanations of nature of the work, the structure of the project, the location, the date, the total cost of the project, the composition of the team, the client…) and graphic files (photos, charts, etc.) of at least 3 representative projects;

- detailed explanation how the bidder will perform all services for the project, including specific details and personal qualification and experience information on the proposed staff for the Project and the role of each member in the team.

Other than the abovementioned documents, each candidate or member of the bidding team must produce the following:

- official written expression of interest;

- proof of insurance for professional hazards and liability;

- an admission certificate to the order or register of the profession / trade engaged in;

- a bank attestation;

- an annual income statement of each candidate for the past 5 years (Estados Financieros Auditados)

- by-laws and the shareholders meetings for the last year (Actas de Asamblea de Accionistas);

- legal information related to the bidder, such as date of incorporation, legal structure, business purpose, paid-in-capital and composition of stockholding;

- evidence of the authority of the person signing same, accompanied by a letter addressed to the French Republic, expressly accepting to participate in the Bid and accepting that the Bid will be awarded to the Awardee.

Each candidate or member of the applying team must furnish affidavits, official declarations and/ or certificates from the local authorities proving and attesting to the following:

- his/ her fiscal situation is in due order with regard to social and fiscal authorities of the country and that his/her latest contributions/dues have been paid;

- he/ she has not been convicted for offences relating to labour laws, commercial laws, and professional and civil obligations;

- he/ she is not insolvent, or under liquidation or any other equivalent procedure ;

- he/she has not been or is not convicted for a breach or fault affecting his/ her professional ethics, the practice of his/ her profession, subsequent to serious acts of corruption;

- he/ she has not been judged guilty of any act of corruption, money laundering or fraud or being part of any criminal organization.

C.4) Physical Inspection and questions during the call for tender phase:
A physical inspection of the Project Site may be held for interested bidders on November 22 or 23, 2011 between 10:00 am and 12:00 (noon). Bidders shall confirm their interest to participate in such visit by e-mail to the Administrative and Legal representatives of the contracting authority (cf. art A.2) at least one business day before the fixed date, specifying the name and function of the person who will attend (no more than 3 participants for each bidder). No question and answer session will be held during such visit. All questions shall be addressed in writing by e-mail to the Technical Representative of the Contracting Authority (cf. art. A.2.) and will be answered in the same way by such Technical Representatives. Questions have to be sent by email at least 4 business days before the last date for receiving tenders (cf. art. C.5.).

C.5) Place of submission and last date for receiving tenders:
The application files, constituted in accordance with the preceding articles must be submitted in sealed envelopes directly at the Administrative and Legal Representatives of the Contracting Authority at the Contracting Authotority’s address (cf. art. A.1. & C.1.) no later than 08th of December 2011 by 13:00p.m. (Mexico City time). Each bid or tender will be taken against an acknowledgement receipt.

C.6) Criteria for analysis and selection of candidates (phase 1):
Following the scrutiny of the applications, the following will not be retained:

- applications not attaching the documents mentioned in article C.3 above, or those who are not in conformity with the provisions of the said article;

- applications not providing guarantees in terms of competence, references and means as mentioned in article C.3 above.

After reviewing all the retained applications, they will be analysed and rated by the Special Committee (cf. art C.1.) following these selection criteria:

- Short and long term financial means to execute de Project (30%);

- Technical and professional capabilities to develop the Project (25%);

- Understanding of the Project (20%);

- Experience in similar projects (15%);

- Conformation and organization of the team assigned to the Project (10%).

The Constructing Authority reserves its right to invite no more than 3 additional participants to phases 2 and 3 (as defined in C.1 above) in the case that phase 1 (as defined in C.1 above) did not allow the selection of at least 3 candidates.

C.7) Analysis of bids and negotiations (phases 2 and 3):
After the pre-selection of candidates, a Tender Documents package specifying the conditions governing the consultation and the submission of bids will be sent to selected candidates on or before the 13th of January 2012 to their registered address.
After scrutinizing all the bids, the Contracting Authority will engage in negotiations with the Qualified Bidder(s) who have submitted the most interesting proposals. However, negotiations will only be held on: financial parameters of the bids (cash settlement, number of year of maintenance, maximum budget for the remodelling of Casa de Francia I, amount and nature of the bank and financial guarantees), quality of the architectural, technical and sustainable project for the buildings (Casa de Francia I & II, CDF Center) and lot and the resources to be marshalled by the chosen candidate. The Contracting Authority will award the contracts to the Qualified Bidder whose bid is the most advantageous financially, following these weighted criteria:
1- Financial proposal and guarantees: 40%
2- Organization of the Qualified Bidder for the success of the project: 30% 3- Architectural, functional, technical and sustainable approach to the whole project: 20% 4- Time schedule proposed for the whole Project and for the French Republic Buildings (the Casa de Francia I and the Casa de Francia II): 10%

D] Miscellaneous Information:

D.1) Language :
The official and legal language for this Project and this Procedure is the English Language. Conforming translations into Spanish or French may also be prepared and executed as agreed between the parties during the execution of the Project.

D.2) Currency:
All figures in the proposals shall be in Mexican Pesos.

D.3) Indemnity:
No indemnity or fee will be paid for this Call for Tender to any candidate or bidder and/or for any other phase of this whole Procedure.

D.4) Jurisdiction :
The Governing Law for the drafting and the interpretation of the Project documents will be the Law of the United Mexican States and the competent courts will be those of Mexico City (Distrito Federal).

D.5) Mode and date of publication :
This notice will be published in the Reforma daily and will be posted on the website of the Embassy of France in United States of Mexico and its associated departments with effect from November the 17th 2011.

D.6) Miscellaneous and other clauses:
All other and miscellaneous clauses will be specified in the Tender Documents which will be given to, and only to, Qualified Bidders./.
